A BV is the abbreviation for private limited company. The company is 'private', because you cannot just sell the shares in a BV to others. This is only allowed with the approval of the shareholders. This is a difference between the BV and the NV that also works with shares. The shares of the Public Company (NV) are not registered and you can sell them without approval.


The BV is a legal person. This means that the BV has its own rights and obligations, just like a natural person. For example, the BV can enter into contracts itself. The BV itself is then liable for these obligations, not the board of the BV. This means that as a director you are not liable with your own capital, but only with the shares you have in the BV. This is the limited liability of the BV.
