What is a Dutch limited liability company?


The Dutch limited liability company (besloten vennootschap met beperkte aansprakelijkheid) is called a "BV". It is the equivalent of the English Limited and the American Limited Liability Company. Wat are the benefits of the Dutch BV? Read it here.

  • How does it work?


    • Online questionnaire


      With Ligo you can insert all relevant information for incorporating a Dutch limited liability company (called a "BV"). It is the equivalent of the English Limited and the American Limited Liability Company. You will be asked a couple of simple questions such as: What is the name of the limited liability company? Who are the founders? Who are the shareholders? What are the activities of the limited liability company? We will take care of the registration at the Chamber of Commerce for you in order to save you time filling in multiple forms for the Chamber of Commerce! A couple of questions will be asked regarding this registration at the Chamber of Commerce.

    • Documents


      After completing the online questions and fulfilling the payment you will immediately receive the relevant documents in your dashboard. This enables you to immediately download and look into your draft deed of incorporation, the power of attorney and your personal data card.

    • Identification at the notary


      You can visit any notary in The Netherlands for identification and signing a power of attorney. At our Ligo notaries this is for free. You can choose to visit them or you can choose to visit a notary that is closer to you (the costs for this are very low if you live in the Netherlands, most of the times between €25 and €50). You can then identify yourself and sign the power of attorney there. You can also choose a notary that lives closer to you, if you do not live in The Netherlands. The costs for this will depend on that notary. Notaries are legally obliged to identify you prior they commence working. You can identify yourself with a valid passport, driver's license or identity card. Companies can do this with an extract of the relevant Chamber of Commerce. Please note that in case you live outside of The Netherlands, a power of attorney needs to be legalised and appostilled. Subsequently, a Ligo-notary will execute the deed of incorporation with this power of attorney.

    • Non-Dutch and English speaking incorporator


      In case you do not speak Dutch or English, it is unfortunately not possible as an incorporator to set up a BV with Ligo.

    • Incorporation


      The notary executes the deed of incorporation and the Dutch limited liability company will be registrered at the Chamber of Commerce. You will receive all final documents in your Ligo dashboard, so you can start building your company.

    • Incorporator not residing or located in The Netherlands


      When an incorporator is not residing in The Netherlands, he/she is not listed in the "Basisregistratie Personen" (BPR). When an incorporator is not located in The Netherlands, it is not listed in the trade register of the Chamber of Commerce. In this case, the notary has to do the verification manually. The additional costs which apply when a founder is a natural person and residing outside of The Netherlands are € 250,-. The additional costs which apply when a founder is a legal entity and located outside of The Netherlands are € 750,-.

    • Registered address in The Netherlands and Dutch bank account


      You need to have an adress in the Netherlands where you can registrate the Dutch limited liability company, there are several parties online who can provide this for you. In addition, we can assist you with opening a Dutch bank account.

    • Tailor-made deed of incorporation


      Are specific types of share required, such as shares without voting shares or profit rights, or is a supervisory board required? Such requirements need to be included in the deed of incorporation.
